The shareholders of W5 Solutions AB (publ), reg. no. 556973-2034 (the “Company”), are hereby summoned to the Extraordinary General Meeting on Thursday, 22 October 2026, at 10:00 CEST, at the Company's office at Jakobdalsvägen 19, Nacka Strand, Sweden. Registration for the Extraordinary General Meeting will commence at 09:45 CEST.

W5 Solutions AB (publ) (”W5 Solutions” or the ”Company”) has, in accordance with the intention announced by the Company in a press release earlier today, and subject to subsequent approval by the Extraordinary General Meeting, resolved on a directed share issue of 6,875,000 shares, with deviation from the shareholders’ preferential rights, at a subscription price of 24 SEK per share (the "Directed Share Issue"). The subscription price in the Directed Share Issue has been determined through an accelerated bookbuilding procedure (the “Bookbuilding”) carried out by DNB Carnegie Investment Bank AB (publ) (“DNB Carnegie”). Due to the significant investor demand generated during the Bookbuilding, the Board of Directors resolved to increase the size of the Directed Share Issue from SEK 150 million to SEK 165 million. Through the Directed Share Issue, W5 Solutions will thus receive SEK 165 million in issue proceeds before transaction costs related to the Directed Share Issue. A number of institutional investors participated in the Directed Share Issue, including both new and existing shareholders, amongst them Salénia AB and Nvest Sverige AB. Furthermore, the chairman of the Company’s Board of Directors, Jonas Rydin, both privately and through Cajory Defence AB, and the Company’s CEO, Evelina Hedskog, participated in the Directed Share Issue.

W5 Solutions AB (publ) (”W5 Solutions” or the ”Company”) hereby announces its intention to carry out a directed issue of shares of approximately SEK 150 million (the “Directed Share Issue”). The Directed Share Issue will, with deviation from the shareholders' preferential rights, be directed to, among others, Swedish and international institutional investors. The Company has appointed DNB Carnegie Investment Bank AB (publ) (“DNB Carnegie”) as Sole Global Coordinator and Bookrunner in connection with the Directed Share Issue. The chairman of the Company’s Board of Directors, Jonas Rydin, through Cajory Defence AB, and the Company's CEO, Evelina Hedskog, have expressed an interest in participating in the Directed Share Issue. Furthermore, certain of the Company's major shareholders, including Salénia AB, have expressed an interest in participating in the Directed Share Issue. The subscription price and the number of newly issued shares in the Directed Share Issue will be determined through an accelerated bookbuilding procedure (the “Bookbuilding”) that will commence immediately after the publication of this press release.
